Overview

Tobias focuses his practice om M&A, corporate, commercial agreements and employment law. Tobias has long lasting experience from complex M&A-acquisitions and large-scale fund raisings. Tobias provides day-to-day corporate, commercial and employment law related advice to clients in complex situations and environments.

Tobias regularly represents buyers, sellers, investors and founders in connection with acquisitions and investments made in Swedish companies. Tobias acts as a strategic advisor throughout the entire M&A-process, from planning of due diligence to execution of complex transaction agreements. Tobias also holds long lasting experience of representing shareholder constellations in buy-out discussions and conflict-like situations. Furthermore, Tobias regularly represents client companies in major contract negotiations and in connection with labor law restructurings.

Experience

Represented the sellers in connection with Elektroskandias’ majority acquisition of Aprilice AB, one of the leading solar panel platforms in the Nordic European region with revenues of approximately EUR 100 million (2022).
Represented HIAB – a part of Cargotec – in its acquisition of Olsbergs Hydraulics AB and Olsbergs Electronics AB. Olsbergs designs, manufactures and supplies hydraulic valves and remote control systems used to maneuver Hiab’s truck mounted loader cranes and forestry cranes.
Represented Precis Digital, a leading digital marketing agency with strong presence in the Nordics and Great Brittain, in connection with an investment from Nalka Invest and in connection with Precis Digital’s cross-border acquisition of the digital marketing agency Bannerboy with subsidiaries in Great Brittain, the Netherlands and USA.
Represented Billhop AB in connection with investments from, among others, EQT Ventures and Element Ventures. Billhop enables for companies to pay invoices with use of a credit card.
Represented Plick AB in connection with an investment from Schibsted. Plick offers a marketplace and app for pre-owned second hand-clothing and accessories.
Represented the sellers in connection with Sorteras acquisition of Circla Recycling AB, a major actor within recycling.

Represented the sellers in connection with the sale of Lägenhetsbyte Sverige AB to Bragnum Invest.
Represented Pixelgen Technologies in connection with investments from Industrifonden and Navigare Ventures. Pixelgen Technologies AB develop technologies, products, software, and services for the analyses of biological samples using nucleic acid encoded pixels capable of generating virtual images of a sample.
Represented the sellers in connection with Abry Partners portfolio company Confirma Softwares acquisition of Dokumera AB.
Represented A Retro Tale AB in connection with an investment from H&M Group Ventures. A Retro Tale is an online store based in Stockholm. The core business is constituted by vintage and second-hand fashion accessories from the worlds most exclusive and famous fashion houses.
Represented the sellers in connection with the IT-company Dizparcs majority acquisition of the digital agency Esatto AB.
Represented the sellers in connection with Exsitecs acquisition of Zedcom AB and Zedcom ISP AB. The target companies offer services within business systems (visma.net), server hosting and offers complete IT-solutions.
Represented Botnia Hydrogen AB in connection with an investment for hydrogen fueling stations from Metacon AB (publ), Lhyfe S.A and Skoogs Energi AB.
